Terms of Service

01Agreement to these Terms

If you accept these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity. In that case, “you” and “Customer” refer to that entity. If you do not have such authority, or if you disagree with these Terms, do not use the Service.

Our Privacy Policy (https://app.horizonn.in/privacy or the /privacy page on the site you are using) explains how we handle personal information and is incorporated by reference.

02The Service

Horizonn provides a multi-tenant SaaS platform for people operations and company administration, including features such as attendance / presence, leave / time away, compensation-related workflows, work logs, documents, announcements, and organization administration.

We may improve, add, or remove features over time. We will use reasonable efforts to avoid material degradation of core paid functionality without notice, but beta or experimental features may change more frequently.

03Accounts, eligibility, and administrators

• You must provide accurate registration information and keep it up to date.
• You are responsible for safeguarding credentials and for activity under your account.
• Organization administrators control user invitations, roles, and workspace configuration.
• You must ensure that employees and other end users invited into your workspace are authorized to use the Service and have received any notices required by law regarding processing of their data.
• We may suspend accounts that appear fraudulent, abusive, unpaid, or in violation of these Terms.

04Google Sign-In

The Service may allow authentication via Google OAuth. By using Google Sign-In, you authorize Horizonn to receive your verified Google email address and basic profile name for account creation and authentication, as described in our Privacy Policy.

Your use of Google is also subject to Google’s own terms and privacy policy. Horizonn is not responsible for Google’s services.

05Customer data and content

“Customer Data” means data, files, and content submitted to the Service by or for the Customer, including employee records and documents.

As between the parties, the Customer retains ownership of Customer Data. Horizonn receives a limited license to host, process, transmit, and display Customer Data solely to provide and secure the Service, prevent abuse, and comply with law.

The Customer is responsible for the legality of Customer Data, including obtaining consents and providing notices required under applicable employment, labour, and data-protection laws in India or other relevant jurisdictions. Do not upload data you are not authorized to process.

06Acceptable use

You agree not to:

• Use the Service for unlawful, harmful, deceptive, or discriminatory purposes
• Attempt to gain unauthorized access to other tenants, systems, or data
• Probe, scan, or test the vulnerability of the Service except with our prior written consent
• Interfere with or disrupt the Service, including by introducing malware
• Reverse engineer the Service except to the extent such restriction is prohibited by law
• Resell, sublicense, or provide the Service to third parties as a competing standalone offering without our written agreement
• Upload unlawful content or sensitive personal data without a lawful basis and appropriate safeguards

07Fees, payment, and taxes

Paid plans and activation fees are presented during checkout. Unless otherwise stated, prices are in Indian Rupees (INR) and may be exclusive of applicable taxes (including GST), which will be charged where required.

Payments for organization activation and subscriptions are processed by Razorpay on Razorpay-hosted payment pages. By paying, you also agree to Razorpay’s applicable terms for the payment method you choose.

Access to paid features may remain limited until payment is successfully completed and confirmed (via return callback and/or webhook). Failed, cancelled, or expired payments may leave the organization in a pending-payment state.

You are responsible for providing accurate billing contact information and for any bank, UPI, or card fees charged by your payment provider.

08Cancellations and refunds

Because Horizonn provides digital SaaS access that can be activated immediately after payment, fees are generally non-refundable once the workspace has been activated, except where required by applicable law or expressly stated in a written order form.

If a duplicate or clearly erroneous charge occurs due to a technical fault on our side, contact app@horizonn.in within 7 days with payment references and we will investigate in good faith with Razorpay.

Customers may stop using the Service at any time. Stopping use does not automatically entitle you to a refund for amounts already paid for the then-current billing period unless required by law.

09Third-party services

The Service integrates with or relies on third parties such as cloud hosting providers, email delivery, Razorpay for payments, and Google for optional Sign-In. Those services are governed by their own terms. Horizonn is not liable for outages or acts of third-party providers beyond our reasonable control, though we will use commercially reasonable efforts to restore Service availability.

10Intellectual property

Horizonn and its licensors own the Service, including software, branding, design, documentation, and related intellectual property. These Terms do not transfer ownership of any Horizonn IP to you.

Feedback you provide may be used by Horizonn to improve the Service without obligation to you.

11Confidentiality

Each party may receive confidential information from the other. The receiving party will use reasonable care to protect that information and use it only for purposes of the relationship, except for information that is public, independently developed, or required to be disclosed by law.

12Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE MAXIMUM EXTENT PERMITTED BY LAW, HORIZONN DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Horizonn does not warrant that the Service will be uninterrupted, error-free, or that it will meet every compliance, payroll, or statutory filing requirement for your organization. Customers remain responsible for their own legal, tax, and employment compliance.

13Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HORIZONN WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL, OR DATA, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

HORIZONN’S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO HORIZONN FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted by law.

14Indemnity

You will defend and indemnify Horizonn against claims, losses, and expenses (including reasonable legal fees) arising from Customer Data, your misuse of the Service, your violation of these Terms, or your violation of applicable law or third-party rights.

15Suspension and termination

You may stop using the Service at any time. We may suspend or terminate access if you materially breach these Terms, fail to pay fees when due, create risk to the Service or other customers, or if required by law.

Upon termination, your right to access the Service ends. We may delete Customer Data after a reasonable retention window, subject to our Privacy Policy and legal retention requirements. Export any needed data before closure where the product supports export.

16Governing law and disputes

These Terms are governed by the laws of India, without regard to conflict-of-law principles. Courts in India shall have exclusive jurisdiction over disputes arising from these Terms, subject to any mandatory consumer protections that cannot be waived.

Before filing a formal claim, the parties will attempt in good faith to resolve the dispute by contacting app@horizonn.in.

17Changes to these Terms

We may update these Terms from time to time. Updated Terms will be posted on this page with a revised effective date. If changes are material, we may provide additional notice. Continued use of the Service after the effective date constitutes acceptance of the updated Terms, except where prohibited by law.
